Acceptable use policy and terms governing your access to and use of the ExpertPay HRMS platform by Prime ExpertPay HRMS Technologies LLC.
These Terms of Use ("Terms") govern your access to and use of the ExpertPay HRMS platform and related services operated by Prime ExpertPay HRMS Technologies LLC ("ExpertPay HRMS", "we", "us"). By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
By registering for, accessing, or using ExpertPay HRMS, you ("Customer", "User", "you") confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and our Service Level Agreement. These Terms constitute a binding legal agreement between you and Prime ExpertPay HRMS Technologies LLC.
ExpertPay HRMS is a cloud-based Software-as-a-Service (SaaS) human resources management platform providing:
To use ExpertPay HRMS, you must register a company account and provide accurate, complete, and current information. You are responsible for maintaining the accuracy of all information provided.
You agree to use ExpertPay HRMS only for lawful purposes and in accordance with these Terms. You must not:
You retain ownership of all employee and HR data you input into ExpertPay HRMS. By using the platform, you grant us a limited licence to process your data solely to provide the agreed services. We act as a data processor on your behalf for employee personal data. Refer to our Privacy Policy for full details.
ExpertPay HRMS may offer free trial periods from time to time. During the trial period, you have access to the full platform. No credit card is required for free trials. At the end of the trial period, continued access requires a paid subscription agreement. Data from the trial period is retained for 30 days after trial expiry before being permanently deleted unless a subscription is activated.
ExpertPay HRMS, including all software, designs, content, and documentation, is the intellectual property of Prime ExpertPay HRMS Technologies LLC, protected by UAE intellectual property law. You may not copy, modify, distribute, or create derivative works without our express written permission.
We aim to maintain 99.5% platform availability as described in our Service Level Agreement. We reserve the right to perform scheduled maintenance with advance notice and emergency maintenance without notice in the event of critical security or stability issues.
To the maximum extent permitted by UAE law, Prime ExpertPay HRMS Technologies LLC shall not be liable for: (a) any indirect, incidental, consequential, or punitive damages; (b) loss of data, profits, or business opportunity arising from use or inability to use the platform; (c) errors in third-party integrations (MOHRE, CBUAE, banks). Our total liability to you shall not exceed the subscription fees paid by you in the preceding 3 months.
Either party may terminate the subscription agreement with 30 days written notice. We may terminate or suspend access immediately if you materially breach these Terms, fail to pay outstanding invoices, or engage in fraudulent activity. Upon termination, we will provide a data export facility for 30 days, after which data will be securely deleted.
We reserve the right to update these Terms at any time. Material changes will be communicated with at least 30 days notice via email. Your continued use of ExpertPay HRMS after the effective date of changes constitutes acceptance.
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising shall first be subject to good-faith negotiation for 30 days. Unresolved disputes shall be referred to the courts of Dubai, UAE, which shall have exclusive jurisdiction.
